Terms of Service

1. Agreement to Terms

By accessing or using Kinsweldo ("the Platform," "Service"), operated by QV Technologies OPC ("Company," "we," "us"), you ("Client," "you") agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of a company, you represent that you have authority to bind that company to these Terms. If you do not agree to these Terms, do not use the Platform.

2. Description of Service

Kinsweldo is a cloud-based Philippine payroll and HRIS platform that provides payroll computation in compliance with Philippine law (NIRC, SSS, PhilHealth, Pag-IBIG), employee records management, attendance tracking, government report generation, payslip generation, and bank payroll disbursement file export.

The Platform is provided as a Software-as-a-Service (SaaS). We do not provide accounting, legal, or tax advice. Output from Kinsweldo is a computational aid — you remain responsible for reviewing all results for accuracy and compliance.

3. Account Registration

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You must notify us immediately of any unauthorized use at admin@kinsweldo.com.

4. Subscription Plans and Billing

Kinsweldo offers a free Starter plan and paid plans (Growth, Pro, Enterprise). Paid plan fees are billed monthly or annually in Philippine Pesos (PHP) inclusive of 12% VAT. All fees are non-refundable except as required by law.

We reserve the right to modify pricing with 30 days' notice. Continued use after the notice period constitutes acceptance.

5. Acceptable Use

You agree to use the Platform only for lawful purposes and in compliance with Philippine law, including but not limited to the Labor Code of the Philippines, the National Internal Revenue Code (NIRC), and RA 10173 (Data Privacy Act). You must not attempt to reverse-engineer, scrape, or compromise the security of the Platform.

6. Data Ownership

You retain all ownership rights to the data you input into the Platform ("Client Data"). We process Client Data solely to provide the Service. Upon account termination, Client Data can be exported for 30 days. After 30 days, data may be permanently deleted.

7. Intellectual Property

The Platform, including its software, design, and content, is owned by QV Technologies OPC and protected under Philippine intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Platform for your internal business operations.

8. Privacy and Data Protection

Our collection and use of personal data is governed by our Privacy Notice. We comply with RA 10173 (Data Privacy Act of 2012) and its Implementing Rules and Regulations.

9. Confidentiality

Both parties agree to keep the other's non-public business information confidential and to use it only to fulfill obligations under these Terms. This obligation survives termination for three (3) years.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that computed payroll figures are free of errors or constitute legal advice. You are solely responsible for verifying compliance with applicable laws.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY PHILIPPINE LAW, RIGHTJOB SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless QV Technologies OPC, its officers, employees, and agents from any claims, damages, or expenses (including attorneys' fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

13. Term and Termination

These Terms are effective while you use the Platform. You may terminate your account at any time. We may suspend or terminate your access for violation of these Terms, non-payment, or at our discretion with 30 days' notice. Upon termination, your right to access the Platform ceases.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of the Philippines. Any disputes shall be submitted to the exclusive jurisdiction of the proper courts of Davao City, Philippines.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email or in-app notice at least 15 days before the effective date. Continued use of the Platform constitutes acceptance of the updated Terms.
